Position Overview
Job Description
The VP, Legal Counsel will be responsible for:
Provide legal support to business units with respect to mergers & acquisitions, structured notes and other structured cash and derivatives products and Fixed Income business lines concerning transactional and regulatory matters, as well as other general legal mattersAnalyze merger and acquisition related materials, including asset purchase agreements, NDAs and commitment lettersAdvise on deal-contingent hedges and related swapsReview a variety credit agreements and other transaction documents concerning project financing transactionsAdvise on securities laws-related matters and provide dedicated coverage to existing structured note programsManage outside counsel in various jurisdictions to assess probability of successful acquisition or debt financing closings in relation to deal contingent derivatives
